Terms of Service

Acceptance of Terms

By creating an account or using the NYVA Payments app or Services, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and NYVA Payments.

Platform Notice: NYVA Payments is built on the Whop platform. By using our Services, you also agree to be bound by Whop’s Terms of Service, Privacy Policy, and other applicable Whop policies. Whop provides the underlying payment processing and infrastructure for NYVA Payments.

Eligibility and Account Creation

Age and Legal Capacity

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts. We may require proof of age or identity.

Accurate Information

You agree to provide true, accurate, and complete registration information and to keep it up to date.

KYC & Verification

To comply with anti-money-laundering (AML) regulations, you must complete identity verification via Whop’s KYC process. Your account may be limited until verification is complete, and you authorize us to share your information with Whop for this purpose.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and any device authentication factors. Notify us immediately of any unauthorized use.

Services and Transactions

Top-Ups and Internal Transfers

Top-ups: You may add funds to your NYVA Payments balance using eligible payment methods, including payment card or bank transfer. Top-ups are credited only after the transaction is authorized and/or settled (as applicable) through our payment platform and any required compliance, security, or risk checks are completed.

Internal transfers: Internal transfers are available only between fully verified users. If you have not completed identity verification, you may not send or receive transfers. If either the sender or the recipient is not fully verified at the time a transfer is requested, the transfer will be rejected and not processed.

Limits and restrictions: We may impose or modify transaction limits, velocity limits, holds, or other restrictions at any time based on verification status, fraud prevention, risk management, and compliance with applicable laws and platform requirements.

Cross-Border Payments

When you initiate a cross-border transaction, funds are routed via Whop’s payment network. Exchange rates and settlement times depend on the receiving country and payment method. We are not responsible for delays caused by recipient banks or intermediaries.

Withdrawals

You may withdraw available funds using the withdrawal methods we make available from time to time (for example, to a linked bank account or eligible card). Processing times and fees vary by method and destination. We may delay, suspend, or refuse withdrawals where required for compliance, security, fraud prevention, or risk controls.

Withdrawals to Crypto Wallets (If Available)

Where enabled, you may request a withdrawal to an external cryptocurrency wallet address (a “Crypto Withdrawal”). Crypto Withdrawals:

NYVA Payments is not a cryptocurrency exchange or custodial wallet provider. Any crypto-related withdrawal functionality (including processing, settlement, and network transmission) may be provided through Whop and/or third-party service providers under their applicable terms.

Fees and Charges

NYVA Payments may charge fees for certain transactions and services. All fees will be clearly disclosed in the app before you complete a transaction. We reserve the right to modify our fee structure with advance notice. Whop and its financial partners may also charge their own fees for payment processing services.

Account Suspension and Termination

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or fail to comply with KYC requirements. If your account is terminated:

You may close your account at any time by contacting support@nyvapay.com. Balances will be returned to you subject to verification and any outstanding obligations.

Dispute Resolution

If you have a dispute with another user or regarding a transaction, please contact us first. We will attempt to facilitate resolution but are not responsible for disputes between users. For disputes with NYVA Payments or Whop, please refer to the dispute resolution provisions in Whop’s Terms of Service.

Limitation of Liability

To the maximum extent permitted by law:

Indemnification

You agree to indemnify and hold harmless NYVA Payments, Whop, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Jamaica. Any disputes will be subject to the exclusive jurisdiction of the courts of Jamaica, except as otherwise provided in Whop’s Terms of Service for disputes related to payment processing.
